Well, I know there are a hundred thousand "my transmission is doing this..." threads and I really hate to start another but can really seem to hunt down anything that matches my symptoms.

I will say that I am not looking for an exact description of what is going on in the trans itself, just need to know if I need to get it rebuilt or if there is another problem IE sensor, cable or something of the sort.

Trans = 700r4 behind a stock TPI 350.

Started two days ago, transmission will rev to 3500 RPM's before shifting into second gear at normal acceleration with any amount of pedal.
Also, transmission will not stay in overdrive unless it has very minimal load on it IE going downhill with foot barley on the pedal. It will only lockup in OD under the condition stated.

Transmission is not slipping.

Today I tore the pan off and replaced the filter and filled with DexIII. There was about a quarter inch of black sludge attached to the magnet at the bottom of the pan. The sludge was very finely ground, no chunks at all.

After filter replacment, adjusted the TV cable to be sure and took it for a drive. Exact same symptoms as before.

Anything else I should try before pulling the trans?

Both could be explained by bits of debris in the VB, or very worn bores in the VB. It being a sudden change suggests debris rather than wear. However, there's no guarantee that a reman VB would help.

I pulled the trans out because I figured if the filter and oil didn't help, its probably internal like you said.

Found a guy localy that will rebuild for 650.
This is his online schpeel;
All transmissions come with a 1 Year 12,000 Mile Warranty with the purchase of a new torque converter. Borg Warner high energy band (exceeds OEM quality); all new high quality high friction clutches (exceeds OEM quality); new bushings; new gaskets, seals, molded pistons, and metal clad seals; new pump vanes; new accumulator pistons; New TransGO Valve Body Separator Plate; New sun shell with hardened splines; This kit replaces weak valves springs, accumulator springs, servo springs, and fixes other issues with this transmission.

Charges 150 for the converter. Quite honestly, he's the only guy around I have found that seems trustworthy.

The price seems fair enough. Does it include a 'vette servo? If not, will his warranty cover the use of one, if he installs it? Definitely ask for it. $17 well-spent. What about upgrading the torque converter? If you're planning a 400 HP 350 and a 3.73:1 rear, then this would be the time to spend a bit more for a Summit 2600-stall converter. Will he still warranty if you go that route? He should agree to, whether you actually decide to or not. He probably can get a similar converter, but I'd insist on ordering my own, then bringing him the un-opened box ( with "summit" [ TCI ] converter inside ) on the day of re-installation. Otherwise, at least request an L35 S-10 converter, same stall as '86 'vette, but updated lockup-clutch material. And basically the same as a B&M or TCI "2000-stall" converter.

Well ended up having the trans rebuilt. Got the vette servo and definatly made a difference in 2nd - 3rd shifts...
I just went with the stock converter for now. I figure it's gonna be a few years before I dive into the Camaro and it's a DD right now so I'll wait.
I have checked the fluid level a dozen times and adjusted the TV cable at least 4 or 5 times Because I seem to be having problems at WOT from 1st - 2nd shifts. Rev's to about 4200 and hesitates into 2nd. Thinking I'm going to head back down to the shop and see if I can get any answers.
